Excelworks End User Licence Agreement

Effective date: 18 July 2026

This End User Licence Agreement (Agreement) is between CAD Projects Australia, trading as CAD Projects (ABN 30 160 773 571) (CAD Projects, we, us or our), and the person or organisation using ExcelWorks (you or your).

By installing, activating or using ExcelWorks, you agree to this Agreement. If you do not agree, do not install, activate or use ExcelWorks.

1. SOFTWARE

ExcelWorks is a Microsoft Windows plug-in for Rhino 8 that creates and updates Rhino table geometry from selected Microsoft Excel ranges (Software). ExcelWorks is licensed, not sold.

2. LICENCE GRANT

Subject to payment, activation and this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Software for internal and commercial project work during the applicable subscription term.

Unless the applicable order states otherwise, a paid licence:

  • is for one named user;
  • may be activated on no more than two Windows computers used by that user; and
  • has a one-year subscription term.

You must deactivate a computer before transferring an activation where reasonably possible. Concurrent sharing between users is not permitted.

3. TRIAL

We may provide a 14-day trial. A trial is for evaluation only, may be limited to one trial per user or organisation, and may be ended or restricted if it is abused. The Software will require a paid licence after the trial expires.

4. RESTRICTIONS

Except where applicable law expressly permits it, you must not:

  • copy, modify, translate, adapt, reverse engineer, decompile or disassemble the Software;
  • bypass or interfere with activation, licensing, security or usage controls;
  • sell, sublicense, rent, lease, distribute, publish or make the Software available to another person;
  • share licence keys or account credentials;
  • use the Software to develop or assist a competing product through unauthorised extraction of its code or proprietary operation; or
  • remove copyright, trade mark or proprietary notices.

5. OWNERSHIP

CAD Projects and its licensors retain all rights, title and interest in the Software, documentation, branding and related intellectual property. You retain ownership of your Excel files, Rhino files and project content.

6. USER RESPONSIBILITY AND VERIFICATION

ExcelWorks automates the transfer and presentation of spreadsheet information. Spreadsheet and CAD outputs can be affected by source data, formulas, cached values, merged cells, fonts, formatting, scaling, software versions and user selections.

You are responsible for independently checking the selected source range and every resulting Rhino output, including values, formula results, decimal presentation, text, fonts, alignment, colours, borders, merged cells, row heights, column widths, table scale, placement and update behaviour. You must maintain suitable source files, backups and quality-control procedures. The Software is not a substitute for professional judgement or project verification.

7. THIRD-PARTY SOFTWARE AND SERVICES

The Software depends on or interacts with Rhino, Microsoft Excel and licensing, payment, hosting or distribution services supplied by third parties. Their separate terms and privacy practices apply. We do not control their availability or changes.

8. UPDATES AND SUPPORT

We may issue fixes, updates or replacement versions. An update may be required for continued compatibility, security or activation. Support is provided on a reasonable-efforts basis through info@cadprojects.com.au. We do not promise that every version of third-party software or every spreadsheet feature will be supported.

9. SUBSCRIPTION, ACTIVATION AND OFFLINE USE

The Software may contact our licensing provider to activate and validate a licence. Periodic online validation may be required. We may provide an offline grace period, currently intended to be 14 days, but uninterrupted offline use is not guaranteed. A subscription does not automatically continue unless renewal is offered and completed through the authorised seller.

10. TERMINATION

This Agreement and your right to use the Software end when the subscription expires or if you materially breach this Agreement. On termination, you must stop using and uninstall the Software. Sections intended by their nature to survive termination, including ownership, responsibility, disclaimers and liability provisions, continue to apply.

11. WARRANTIES AND AUSTRALIAN CONSUMER LAW

Nothing in this Agreement excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, including under the Australian Consumer Law.

To the maximum extent permitted by law, the Software is otherwise supplied “as is” and “as available”. We do not warrant that it will be uninterrupted, error-free, compatible with every workbook or suitable for every purpose.

Where a non-excludable guarantee applies and the law permits us to limit our liability, our liability is limited, at our option, to supplying the services again or paying the cost of having the services supplied again.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, CAD Projects is not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, opportunity, goodwill, data or project time arising from the Software. Our aggregate liability arising from the Software is limited to the amount you paid for the affected licence in the 12 months before the event giving rise to the claim.

This limitation does not apply to liability that cannot lawfully be excluded or limited.

13. TRANSFER

You may not assign or transfer this Agreement or a licence without our prior written consent. We may assign this Agreement as part of a business transfer, restructure or sale of relevant assets.

14. CHANGES

We may update this Agreement for future purchases or renewals. Material changes affecting an active subscription will be communicated where reasonably practicable and will not retrospectively remove non-excludable rights.

15. GOVERNING LAW

This Agreement is governed by the laws of New South Wales, Australia. The parties submit to the courts of New South Wales and courts entitled to hear appeals from them.

16. GENERAL

If a provision is unenforceable, it will be read down or severed to the minimum extent necessary without affecting the remainder. A failure to enforce a provision is not a waiver. This Agreement, together with the applicable order and policies referenced at purchase, is the entire agreement about the Software.
