COMPOSITEWORKS END USER LICENCE AGREEMENT

This End User Licence Agreement (“Agreement”) is between the person or organisation installing or using CompositeWorks (“You”) and CAD Projects / CompositeWorks (“Licensor”, “We”, “Us”, or “Our”). By installing, copying, activating, or using CompositeWorks, You agree to this Agreement. If You do not agree, do not install or use CompositeWorks.
1. Software
CompositeWorks is a Rhino plug-in for composite laminate design support, material quantity survey, weight and centre-of-gravity reporting, and drawing/report automation.
CompositeWorks is developed with care and is intended to assist competent users. However, it is only a software tool. It does not replace professional judgement, independent checking, engineering review, design approval, classification review, regulatory review, manufacturing review, or project-specific validation.
CompositeWorks is not affiliated with, endorsed by, sponsored by, or supplied by Robert McNeel & Associates. Rhino and Rhinoceros are trademarks of Robert McNeel & Associates.
2. Licence Grant
Subject to payment of any applicable fees and compliance with this Agreement, We grant You a limited, non-exclusive, non-transferable, revocable licence to install and use CompositeWorks for Your internal design, drafting, estimating, reporting, and project work.
Unless the purchase terms state otherwise, each licence is for one user or one computer seat at a time.
3. Trial Use
If CompositeWorks is provided as a trial, You may use the trial version for the stated trial period only. At the end of the trial period, You must purchase a valid licence or stop using CompositeWorks.
You must not attempt to bypass, reset, disable, tamper with, or avoid trial, activation, licensing, or access controls.
4. Restrictions
You must not:
– sell, rent, lease, lend, sublicense, redistribute, or otherwise provide CompositeWorks to another person or organisation except as expressly allowed by Us;
– copy CompositeWorks except as needed for backup or permitted installation;
– modify, adapt, translate, decompile, disassemble, reverse engineer, or attempt to discover the source code of CompositeWorks, except where applicable law expressly allows this;
– remove or alter copyright notices, licence notices, product names, trademarks, or other proprietary notices;
– use CompositeWorks to provide a hosted, bureau, software-as-a-service, or similar service to third parties without Our written permission;
– use CompositeWorks in a way that infringes another person’s rights or violates applicable law.
5. Ownership
CompositeWorks is licensed, not sold. We retain all rights, title, and interest in CompositeWorks, including software code, user interface design, documentation, examples, default data, templates, and other included materials.
You retain ownership of Your Rhino files, project data, title blocks, material libraries, drawings, exports, and other content You create or edit using CompositeWorks.
6. User Responsibility and Independent Checking
You are solely responsible for checking, validating, and approving all inputs and outputs associated with CompositeWorks, including but not limited to:
– material properties;
– material formulas and formula drivers;
– laminate schedules;
– ply counts;
– coverage zones;
– areas;
– weights;
– resin quantities;
– centres of gravity;
– moments;
– drawing sheets;
– Rhino tables;
– exported reports;
– title blocks;
– any other data produced, edited, copied, calculated, or displayed by CompositeWorks.
Default material libraries, formula drivers, templates, title blocks, examples, and other supplied data are provided as a starting point only. They may not be correct for Your materials, processes, project requirements, regulatory requirements, or manufacturing methods.
You must independently verify all CompositeWorks outputs before relying on them for design release, procurement, manufacture, construction, certification, class approval, regulatory approval, quotations, tenders, client deliverables, or any other project decision.
7. Engineering, Design, and Project Risk
CompositeWorks does not provide engineering certification, structural design certification, class approval, regulatory approval, manufacturing approval, or professional advice.
All design decisions, engineering decisions, material choices, laminate schedules, manufacturing decisions, cost decisions, and project decisions remain entirely Your responsibility.
You accept all risk associated with using CompositeWorks and any outputs generated by CompositeWorks.
8. No Liability for Costs or Losses
To the maximum extent permitted by law, We accept no responsibility and no liability for any cost, loss, claim, damage, delay, rework, correction, redesign, remanufacture, repair, replacement, scrap, wasted material, wasted labour, wasted production time, failed inspection, failed certification, failed class approval, failed regulatory approval, project delay, project overrun, lost profit, lost revenue, lost contract, loss of business, loss of data, loss of goodwill, or any other consequence arising from or related to:
– installing or using CompositeWorks;
– being unable to install or use CompositeWorks;
– relying on CompositeWorks outputs;
– errors, omissions, inaccuracies, or unexpected behaviour in CompositeWorks;
– incorrect user inputs;
– incorrect material data or formulas;
– incorrect Rhino model geometry;
– incorrect layer setup;
– incorrect tables, reports, drawings, areas, weights, centres of gravity, or moments;
– changes to Rhino, Windows, .NET, graphics drivers, or other third-party software;
– any project, design, engineering, manufacturing, procurement, or commercial decision made using CompositeWorks.
This limitation applies even if We have been advised that such costs or losses are possible.
9. Warranty Disclaimer
CompositeWorks is provided “as is” and “as available” to the maximum extent permitted by law.
We do not warrant that CompositeWorks will be error-free, uninterrupted, compatible with every system, suitable for any particular project, accurate, complete, or fit for any particular purpose.
Nothing in this Agreement excludes, restricts, or modifies any consumer guarantee, warranty, right, or remedy that cannot lawfully be excluded.
Where liability cannot lawfully be excluded, Our liability is limited to the maximum extent permitted by law and, where permitted, to the amount You paid for the relevant CompositeWorks licence in the 12 months before the claim arose.
10. Updates and Support
We may provide updates, bug fixes, documentation, support, or new versions at Our discretion. Unless the purchase terms state otherwise, purchasing a licence does not guarantee a particular support period, update period, feature roadmap, or compatibility with future versions of Rhino, Windows, .NET, or third-party software.
11. Data and Backups
You are responsible for backing up Your project files, custom materials, formulas, title blocks, templates, settings, and any other data used with or created by CompositeWorks.
We are not responsible for lost, corrupted, overwritten, deleted, or unrecoverable data.
12. Termination
This Agreement starts when You install, activate, or use CompositeWorks and continues until terminated.
We may terminate this Agreement if You breach it. On termination, You must stop using CompositeWorks and delete all installed copies, except copies You are legally required to retain for archival or compliance purposes.
13. Transfer
You may not transfer Your licence to another person or organisation without Our written permission, unless the purchase terms expressly allow transfer.
14. Third-Party Software and Services
CompositeWorks may rely on Rhino, RhinoCommon, Windows, .NET, package management tools, licensing services, payment platforms, or other third-party components or services. Those components and services are governed by their own terms.
15. Governing Law
This Agreement is governed by the law stated in the purchase terms or invoice. If no governing law is stated, this Agreement is governed by the laws of Queensland, Australia, without regard to conflict of law rules.

17. Entire Agreement
This Agreement, together with any purchase terms, invoice terms, or written licence terms supplied by Us, forms the entire agreement between You and Us about CompositeWorks.
